ARTICLES OF INCORPORATION
OF TAICHUNG DENTAL ASSOCIATION

Chapter 1 General Rules

Article 1 This Association is named Taichung Dental Association, hereinafter referred to as the Association.
Article 2 The Association develops ethics of the medical profession, dental science and medical skills, promotes people's health, carries out oral cavity health, and seeks members' harmony and welfare as purpose.
Article 3 The Association's work is limited to Taichung City administrative area.
Article 4 The Association's site is in Taichung City, Taiwan.

 

Chapter 2 Missions

Article 5

The Association's missions are shown below :
1. Propagate ethics of medical profession.

2. Invigorate dental science.
3. Promote dental skills.
4. Give suggestion to draw up laws and decrees on medical health.
5. Instruct and carry out the affairs on oral cavity health.

6. Give assistance in medical relief and draw up the relevant laws.

7. Defend dental safety and rights.

8. Improve medical materials and dentistry running method.

9. Work for members' harmony and mutual help.

10. Other affairs which can accomplish the Association's purposes.

 

Chapter 3 Members

Article 6 The dentist who has dentist qualification certificate and opens his clinic or works dentistry in Taichung must participate in the Association to be a member.
Article 7

The dentist who wants to apply for the membership needs an introduction from two members (except directors or supervisors) of the Association. The applicant must prepare following documents to be examined by Board of Directors:

1. Membership Application Form

2. Resume with certificate(s).

3. Other things required

When his application is approved, he must pay all the regulated fees and take an oath to become a member. Then he will be a member upon receipt of the membership certificate. If Board of Directors turns his application down due to some reasons, he is entitled to a second application. If the second is turned down again, he has to wait for one year to apply again. If Board of Directors thinks it is necessary for the introducers to appear for being questioned, they must appear accordingly. If any of the introducers is absent, the examination will be postponed. If the applicant's clinic is at quack's place, his application will be rejected.
Article 8 For alien applicants, our membership shall be limited to those as approved by Doctor Law of the Republic of China and in conformity to the regulations applicable to the alien medical personnel.
Article 9

The individual who commits any of the following events shall not be accepted as a member:

1. Commiting a crime of civil strife or foreign invasion and declared guilty.

2. The individual whose name is deleted from dentist list or whose qualification is cancelled.

3. Infringing the drug laws.

Article 10 No member is allowed to ask for a refund of the membership fee except those who move to other area, stop business or infringe our regulations, or whose dentist qualification is invalidated due to infringing Doctor Law.
Article 11 All the members must observe the ethics of medical profession and keep good social reputation.
Article 12 All the members are not allowed to put a propaganda or advertisement of their medical experiences, skills, or remuneration in newspapers, broadcasting station or TV, or by any other means including putting the same in other person's name.
Article 13

All the members are granted with the following rights:

1. To elect, to be elected, to be recalled, to propose and to vote.

2. To be engaged in the business in relation to the Association.
Article 14

All the members must fulfill following duties:

1. Observe member's convention and rules.

2. Observe the resolutions of Association.
3. Serve such post as recommended or resolved by Association.

4. Pay the membership fee on time.
5. Reply to our inquiry and investigation.
6. Fulfill other duties.
Article 15

The member who commits any of the following items will, depending on the serious degree, be mediated, warned, or ordered to cease doing business by the resolution of our United Board of Directors and Supervisors or Member Conference.

1. Against the rules of the member.
2. Against the regulations or resolutions of Association.

3. Give cover to quack with his name or license.

4. Hire or connive the person of no dentist qualification to carry out medical affairs.

5. Delay in paying the membership fee over one year.

If he is against any laws or decrees, and deserves to be removed from the list, the resolution must be approved by Member Conference, and be reported with facts and proofs to Health Authority of Central Government. Handle this matter according to Doctor Punishment Rules.
Article 16 If any member's proper rights of business are offended, or fame is hurt, he may report the fact to the Association. If Board of Directors determines by a resolution that it is true, the Association will take proper action to protect him.

 

Chapter 4 Organization and Authorities

Article 17 The Association has 15 directors who organize Board of Directors and 5 supervisors who organize Board of Supervisors. There are 5 candidate directors and 2 candidate supervisors. All directors, supervisors and candidates are elected with signed ballot b y Member Conference according to member's application.
Article 18 Those who have the most ballots are elected as directors or supervisors. If they have the same number of ballots, the election shall be decided by drawing lots.
Article 19 There are 5 managing directors in Board of Directors and they are elected by the directors. There is one managing supervisor elected by the supervisors. With the most ballots, they are elected as managing directors or supervisor. If there is any vacant afterward, Board of Directors or Board of Supervisors will elect the substitute for the vacant. The term of post of the substitute is to fill the remaining days.
Article 20 The Chairman is elected from among the managing directors. He who has the most ballots wins the election.
Article 21

The authorities of Board of Directors:

1. Carry out the resolutions made by Member Conference.

2. Convene Member Conference.
3. Carry out the regulations and the missions regulated in our rules.

4. Examine the qualification of the member applicant.
Article 22

The authorities of Managing Directors:
1. Carry out the resolutions made by Board of Directors.

2. Handle daily meetings.
Article 23

The authorities of Board of Supervisors:

1. Supervise Board of Directors to carry out the resolutions made by Member Conference.

2. Supervise the meetings handled by Board of Directors.

3. Audit the account of the Association.
Article 24 The authorities of Managing Supervisors :
1. Convene supervisor meetings.
Article 25 The authorities of Chairman of Board of Directors:
1. Act as the delegate of the Association.
2. Administer all the affairs of the Association.
Article 26 The terms of directors and supervisors are three (3) years. They may renew their terms of the posts if elected again. The term of the director can be renewed once only.
Article 27

The director or supervisor who commits any of the following events must resign his post:
1. Commit any provision of article 9 as set forth hereto.

2. Lose membership.
3. A resignation resolution made by Member Conference.

4. Unless absence for the sake of official business, if a director or a supervisor asks for leave twice continuously, it is regarded as being absent one time from attendance at meeting. If he is absent without proper reason, any of such absence is regarded as absence one time. If he is absent twice continuously, he will be deemed to have resigned his post. In this case, a candidate director or candidate supervisor will fill the vacant post in due order.
Article 28 All the directors and supervisors are of no-salary titled posts.
Article 29 The Association is allowed to have one general secretary or several office workers to handle Association affairs. This work will be made according to the Administration Measures of Association affairs.
Article 30 The Association will hire an advisor or advisors, and organize a panel commission if necessary. Their term is same as that of the directors and the supervisors.

 

Chapter 5 Meetings

Article 31 The Member Conference is divided into scheduled meeting and unscheduled meeting, all convened by Board of Directors. The scheduled meeting is held once annually, whilst the unscheduled meeting is held by the Chairman if he deems it necessary, or upon request of at least 1/3 members, or by Board of Supervisors with a written notice served to all the members.
Article 32 The resolutions made by Member Conference will be carried out depending on the agreement given by the majority of the attendant members provided that total attendant members comprise the majority of total members of the Association.
Article 33

Member Conference is entitled to implement the following affairs depending on the agreement given by over 2/3 attendant members provided that total attendant members comprise over 2/3 total members of the Association .

1. Alter any provisions set forth in this Articles of

Incorporation.
2. Discharge the director or supervisor from his post.

3. The election of 清數人數 and the resolutions on 清數事項 .
Article 34 If any member cannot attend Member Conference for some reason, he may request, in writing, another member to exercise the right on his behalf, but one member is limited to accept one member's request.
Article 35

Any member or office worker is not entitled to join the meeting involving his own affairs, but he is allowed to be present for the purpose of explaining the details.

Article 36 Meeting of Directors and Meeting of Supervisors are held bimonthly and respectively convened by Chairman of Board of Directors and Managing Supervisor. If necessary, the Chairman and the Managing Supervisor may convene an unscheduled (extraordinary) meeting or director-supervisor collegiate meeting.
Article 37 Board of Directors and Board of Supervisors is allowed to make resolutions in the meeting on condition that agreement is given by the majority of attendant members provided that the attendant members comprise the majority of total members of the Association. If the pros and the cons are equal, the Chairman shall make the decision.
Article 38 No one is allowed to represent other directors or supervisors to attend the meetings.
Article 39 All the meetings must have minutes to be maintained for reference.

 

Chapter 6 Funds and Account

Article 40

The Association's funds come from following sources:
1. Membership annual fee
2. Admission fee

3. Donation
4. Bank's interest of the Association funds
5. Unscheduled membership fee
6. Miscellaneous income
Article 41

1. Admission fee is NT$20,000, plus a notation of NT$2,500 to be used as the Association's funds. Both fees should be paid in full at the same time when the applicant joins the Association to be a member.

2. In addition to above fees, a member should also pay the Provincial Association such other charges as regulated by Provincial Association. The Association shall collect the charges on behalf of Provincial Association.

Note : The current membership fee of Provincial Association is NT$100 per month. The membership fee of National United Dental Association is NT$100 as well as an additional welfare fund of NT$100.

3. During the period of recess, Board of Directors is authorized to decide increment or reduction of the admission fee for the members in a certain region, and then bring the decision to Member Conference for retroactive confirmation.
Article 42 The fiscal year of the Association is from January 1 to December 21 per year.
Article 43 The membership annual fee or admission fee is not refundable if any member intends to give up membership.
Article 44 Next year budget will be made within two months after the ending of fiscal year. Then, a budget report should be prepared and presented to Member Conference for approval. After that, the budget report will be rendered to the authorities, and be published.

 

Chapter 7 General Regulations

Article 45 If the Association is dismissed or cancelled, the remaining property shall be disposed of in accordance with the rules and never become the property of any individual or any private enterprise company by any means. It should belong to an autonomous group or government.
Article 46 Any affairs which are not regulated in these Articles of Incorporation will be subject to the laws and decrees of the Republic of China.
Article 47 The Articles of Incorporation shall be implemented after passing the examination by Member Conference and the approval of the authorities. Amendment, if any, shall be the same.

 

Chapter 8 Supplementary Articles

Bylaws Welfare Measure Commssion
of Taichung Dental Association

Article 1 The Association especially set up members' Welfare Measure Commission (hereinafter referred to as the Commission) so as to offer a variety of welfare projects for the purpose of developing the spirit of mutual help and cooperation and seeking the welfare for all the members.
Article 2 The Commission consists of seven commissioners of whom two are selected from Board of Directors and one from Board of Supervisors. Another three commissioners are selected from Member Conference. The Chairman of Board of Directors is also the Chief Commissioner. A Chief Executive will be elected from the said six commissioners to be in charge of the business of the Commission with his/her term of office to be same as that of directors and supervisors, and will be of no-salary post.
Article 3 The Commission meeting is held bimonthly. A provisional meeting will be held if necessary. The Commission is responsible for planning and operation of members' welfare.
Article 4 These bylaws of the Commission will be carried out under approval of Board of Directors, Board of Supervisors and retroactive confirmation of Member Conference and will be rendered to the authorities for reference. Amendment, if any, shall be the same.
Bylaws of Public Relationship and Medical Affairs Commssion of Taichung Denal Association
Article 1 In order to upgrade medical quality, promote the unity and harmony among the members and clinics, and maintain member's convention, the Association particularly establish this Public Relationship and Medical Affairs Commission (hereinafter referred to as the Commission).
Article 2 The Commission consists of seven commissioners of whom two are selected from Board of Directors and one from Board of Supervisors. Another three commissioners are selected from Member Conference. The Chairman of Board of Directors is also the Chief Commissioner. A Chief Executive will be elected from the said six commissioners to be in charge of the business of the Commission with his/her term of office to be same as that of directors and supervisors, and will be of no-salary post.
Article 3 The Commission meeting is held bimonthly. A provisional meeting will be held if necessary. The Commission is responsible for planning and operation of relative affairs and business.
Article 4 These bylaws of the Commission will be carried out under approval of Board of Directors, Board of Supervisors and retroactive confirmation of Member Conference and will be rendered to the authorities for reference. Amendment, if any, shall be the same.
